PERAXION END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("EULA") governs the legal relationship between PeraPole Yazılım ve Bilişim Teknolojileri San. Tic. A.Ş. ("PeraPole", "Licensor", "We") and the natural or legal persons ("User", "Licensee", "You") who use the Peraxion mobile application and/or web platform ("Application", "Service").

1. DEFINITIONS

• Application & Service: Refers to the Peraxion mobile application and/or web platform developed by PeraPole and all related services.
• Licensor: PeraPole Yazılım ve Bilişim Teknolojileri San. Tic. A.Ş., a company located at Karaman Çiftlik Yolu Caddesi 47 Kar Plaza E Blok Ataşehir/İSTANBUL.
• Licensee: Natural and/or legal persons who use, access, or benefit from the Application.
• Content: Includes software, interfaces, texts, graphics, images, audio files, videos, databases, codes, and all other materials within the Application.
• Intellectual Property Rights: All intellectual and industrial property rights, including copyrights, patent rights, trademark rights, design rights, and similar rights.

2. GRANT OF LICENSE

PeraPole grants the User a limited license under the following terms, provided that the User accepts the terms of this EULA:

• This license is non-transferable, non-exclusive, and revocable.
• The license is solely for the use of the Application in accordance with its intended purpose and the provisions of this agreement.
• The license is granted for personal or internal business use.
• The User may use the Application only on authorized devices and within the usage limits set by PeraPole.
• This license covers only the right to use the Application, not its ownership.

3. ACCEPTANCE AND MODIFICATION

By downloading, installing, accessing, or using the Application, the User is deemed to have accepted all provisions of this EULA.

PeraPole reserves the right to unilaterally change this EULA at any time. The changes will be:

• Announced through the Application, on the website, or by other appropriate means.
• Effective immediately upon publication.
• Applicable to previously published Terms of Use, Privacy Policy, and similar provisions.
• The User's continued use of the Application after the changes constitutes acceptance of the changes.

4. USAGE RESTRICTIONS

The User agrees not to perform the following actions:

• Reproduce, copy, distribute, sell, or rent the Application;
• Reverse engineer, attempt to extract the source code, decompile, or disassemble the Application;
• Modify, adapt, or create derivative works of the Application;
• Use the Application for unauthorized commercial purposes;
• Engage in any activity that would harm the platform, disrupt the service, or compromise security;
• Attempt to access the system using automated tools or bots;
• Act in a way that negatively affects the experience of other users;
• Share content that violates laws, regulations, or the rights of third parties;
• Attempt to bypass or disable the security features of the Application.

5. COPYRIGHT AND INTELLECTUAL PROPERTY

All content and materials in the Application are owned or licensed by PeraPole:

• All Intellectual Property Rights belong to and are protected by PeraPole.
• The User is granted only the limited right of use specified in this EULA.
• Usage must not violate copyright, trademark, and other proprietary notices.
• Reproduction, distribution, or publication of the content without PeraPole's written permission is prohibited.
• The User undertakes not to infringe upon PeraPole's intellectual property rights.
• "Peraxion" and all related brands are registered trademarks of PeraPole.

6. PRIVACY AND DATA PROCESSING

The User's personal data is processed within the following framework:

• Data Controller: PeraPole acts as the data controller under the Personal Data Protection Law (KVKK) No. 6698.
• Processing Purposes: Providing support services, managing customer relationships, system updates, security audits, user satisfaction analysis, and fulfilling legal obligations.
• Legal Bases: User's explicit consent, performance of a contract, legal obligations, and legitimate interests.
• Retention Periods: Data is stored as long as required by legal retention obligations and processing purposes.
• Data Security: Personal data is protected with appropriate technical and administrative measures.
• For detailed information, the Privacy Policy and Data Protection Notice should be reviewed.

7. COOKIE USAGE

Cookie technology is used in the Application and related web platforms:

• Purpose: Improving user experience, service optimization, ensuring security, and obtaining analytical data.
• Cookie Types: Necessary cookies, performance cookies, functional cookies, and analytical cookies may be used.
• User Control: The User can manage cookie preferences through browser settings.
• Notice: Detailed information about cookie usage is provided in the Cookie Policy.
• The User acknowledges acceptance of cookie usage and their right to manage it.

8. LIMITATION OF LIABILITY

PeraPole's liability is limited as follows:

• Service Level: The Application is provided "as is" and "as available".
• Disclaimer of Warranty: No express or implied warranties are given, including but not limited to warranties of fitness for a particular purpose, continuity, security against errors, or reliability.
• Limitation of Liability: PeraPole shall not be liable for direct, indirect, consequential, special, punitive, or exemplary damages.
• Types of Damages: No liability is accepted for any damages, including loss of profit, loss of data, business interruption, loss of revenue, or similar damages.
• Third-Party Content: No responsibility is accepted for third-party services and content accessed through the Application.
• Technical Issues: Liability for internet outages, server failures, or technical malfunctions is limited.
• Maximum Liability: In any case, PeraPole's liability is limited to the fees paid by the User in the last 12 months.

9. TERMINATION OF THE AGREEMENT

Automatic Termination:

• The license automatically terminates if the User fails to comply with the terms of this EULA.
• Immediate termination will be applied in case of illegal activities by the User.
• The license becomes void in case of technical misuse or security breaches.

PeraPole's Right to Terminate:

• PeraPole may terminate the service at any time, for any reason, with or without prior notice to the User.
• Access will be immediately blocked in case of violation of laws or regulations.
• Accounts that have been inactive for a long period may be closed.

Consequences of Termination:

• Upon termination, the User must immediately cease using the Application.
• Legal liability for copyright infringement continues after termination.
• User data may be processed in accordance with legal retention periods.

10. APPLICABLE LAW AND DISPUTE RESOLUTION

In the interpretation and application of this EULA:

• Governing Law: The laws of the Republic of Turkey shall apply.
• Jurisdiction: The Istanbul Anatolian Courts and Execution Offices are authorized.
• Alternative Resolution: At PeraPole's discretion, disputes may be resolved through arbitration or consumer courts.
• Language: The official language of the agreement is Turkish; translated texts are for convenience only.
• Severability: The invalidity of any provision shall not affect the validity of the other provisions.
• Waiver: PeraPole's waiver of any right does not imply a future waiver of that right.

GENERAL PROVISIONS

• Entire Agreement: This EULA constitutes the entire agreement between the parties and supersedes all prior oral or written agreements.
• Modification: This EULA can only be modified in writing by PeraPole.
• Assignment: The User cannot assign this EULA to third parties; PeraPole may assign it at any time.
• Force Majeure: No liability is accepted for unforeseeable circumstances such as natural disasters, war, terrorism, or internet infrastructure problems.
• Effective Date: This EULA is effective from the date of acceptance by the User and remains in effect until the license is terminated.

DECLARATION OF ACCEPTANCE:

You declare that you have read, understood, and agree to all the provisions of this End-User License Agreement. By using the Application, you commit to be bound by this agreement.

This EULA was updated on 2025 and came into effect upon acceptance by the Users.
