PERAXION TERMS OF USE AND MEMBERSHIP AGREEMENT
The services offered on this PLATFORM are provided by PeraPole Yazılım ve Bilişim Teknolojileri San. Tic. A.Ş., with Tax ID number 7280624854, located at Karaman Çiftlik Yolu Caddesi 47 Kar Plaza E Blok Ataşehir/İSTANBUL. PERAPOLE is the legal owner of the PERAXION PLATFORM, and all rights of use and disposal on the platform belong to PERAPOLE.
These terms of use may be changed by PERAPOLE when necessary. In case of changes, they will be published on the platform and will be valid from the same date.
Every natural and legal person who benefits from the PERAXION PLATFORM services and accesses the platform is deemed to have accepted in advance every change made by PERAPOLE in the provisions of these terms of use.
PERAPOLE reserves the right to change the information, forms, and content that are or will be on the PERAXION PLATFORM at any time.
If the Agreement is concluded on behalf of a legal entity, the person concluding the Agreement accepts, declares, and undertakes that they are authorized to perform such a transaction on behalf of the said legal entity, otherwise (in case of an unauthorized transaction), they are personally responsible for all consequential actions they have taken/will take.
The CUSTOMER and USER agree that they will be deemed to have accepted all the terms of the Agreement from the moment they start using the services and that these terms will be binding for them.
SUBJECT OF THE AGREEMENT
This agreement determines the terms of use of the PLATFORM, which offers an AI-supported chat service to facilitate internal and inter-organizational communication, developed by PERAPOLE, and the rights and obligations of the parties.
GENERAL PROVISIONS
- PERAXION is only a PLATFORM provider. PERAXION is not responsible for the consequences arising from the communication of USERS with each other or with AI-supported chat systems.
- The PLATFORM can only be used in accordance with the law, good faith, and commercial ethical rules.
- The USER is responsible for all transactions carried out through their own account.
- If others are allowed to access the PLATFORM, the relevant USER is directly responsible for the transactions carried out by these persons.
- PERAXION makes no commitment regarding the security, accuracy, or legality of the content shared on the PLATFORM.
PROPERTY RIGHTS
- All software, interfaces, content, designs, graphics, images, audio materials, databases, brands, and logos on the PLATFORM belong to PERAXION or their usage rights have been obtained through a license.
- The USER cannot copy, reproduce, sell, distribute, modify, or otherwise use this content.
- The publication of this content, in whole or in part, in other media without the written permission of PERAXION is prohibited.
PRIVACY AND PERSONAL DATA
- PERAXION processes and protects the personal data of the USER within the framework of the privacy policy and relevant legislation.
- Passwords, contact information, and other commercial data are stored encrypted; they are not shared with third parties without permission.
- PERAXION may share personal data with relevant institutions with the USER's permission or in cases required by law.
- Cookie technology is used on the PLATFORM.
USAGE LIMITS AND PROHIBITIONS
- The USER cannot engage in any action that prevents or hinders other users' use of the PLATFORM.
- Attempting to access the system with automated tools, creating server load, data manipulation, and using others' identity information without permission are strictly prohibited.
- Otherwise, PERAXION reserves the right to suspend or delete the account and take legal action.
RIGHTS AND OBLIGATIONS OF PERAXION
PERAXION may terminate the contract and suspend the account without any warning in the following cases:
- Entering false, misleading, or illegal content on the PLATFORM,
- Infringement of intellectual property,
- Engaging in malicious behavior or actions that jeopardize system security,
- Obtaining unfair advantage through system vulnerabilities of PERAXION,
- Causing harm to others with user information.
LIMITATION OF LIABILITY
- PERAXION does not guarantee that the PLATFORM will be uninterrupted, error-free, or secure.
- PERAXION cannot be held responsible for any direct or indirect damages, loss of data, loss of profit, or business interruption.
- The User agrees to act knowing the risks they may encounter while using the PLATFORM.
ASSIGNMENT OF THE AGREEMENT
PERAXION may assign this agreement, in whole or in part, to third parties. The USER cannot assign this agreement without permission.
FORCE MAJEURE
PERAXION cannot be held responsible for the temporary or permanent suspension of the service due to force majeure events such as natural disasters, war, riots, communication interruptions, internet infrastructure problems, government interventions, etc.
APPLICABLE LAW AND JURISDICTION
Turkish Law is applicable in the implementation and interpretation of this agreement. The parties agree that the Istanbul Anatolian Courts and Execution Offices are authorized.
EFFECTIVENESS AND ACCEPTANCE
- This agreement enters into force upon being accepted electronically during membership registration on the PLATFORM.
- PERAXION reserves the right to unilaterally change the provisions of the agreement at any time.
- The changes come into effect upon being announced on the PLATFORM.
NOTIFICATIONS
Notifications sent to the USER's registered e-mail address are deemed to have been delivered within 1 (one) day from the date of sending.
CUSTOMER and USER declare that they have read and understood this “PERAXION PLATFORM TERMS OF USE and MEMBERSHIP AGREEMENT,” accept all its provisions, and undertake the accuracy of the information they have provided.
